The fee is capped at Rs 40 million online and Rs 50 million on paper. Above Rs 5 billion each further Rs 100,000 costs Rs 220.
How the fee is worked out
The Seventh Schedule charges a base fee for the first Rs 100,000 of authorised capital and an additional fee for every Rs 100,000 or part of it above that.

On paper the same company pays Rs 12,100 + Rs 22,368 + Rs 2,000 = Rs 36,468. Filing online through eZfile saves Rs 6,445 here.
A part block counts as a full block, so Rs 150,000 capital pays for one extra block, the same as Rs 200,000.
Increasing authorised capital
Raising authorised capital later is charged on the difference, at Rs 700 for every Rs 100,000 (or part) above the first Rs 100,000, and Rs 165 above Rs 5 billion.
Example: from Rs 1,000,000 to Rs 5,000,000 is 40 more blocks: 40 x Rs 700 = Rs 28,000.
Most small companies start with low authorised capital to keep the fee down and increase it when they need to issue more shares.

The general filing fee covers most routine forms, such as the annual return and changes of directors. Late filing attracts additional fees that depend on the form and the delay.

We read the per Rs 100,000 fee as applying above the first Rs 100,000, which matches the wording 'additional fee'. Stamp duty on the memorandum and articles is not included.
